The customer controls its jobs, data, and hiring decisions. Enroll Talent provides the agreed technology, automation, and integrations. An order form, service agreement, or data processing addendum may supplement these terms.
1. Acceptance and scope
These terms are an agreement between Enroll Talent and the person or organization that accesses or uses the Services. By accessing the Services, creating an account, accepting an order form, or using a feature, you accept these terms and confirm that you have authority to bind the organization you represent.
If the parties have signed a service agreement, order form, data processing addendum, or special terms, those documents are part of the agreement. If there is a conflict, the special terms or order form control for their subject matter, followed by the service agreement, the applicable addendum, and then these terms.
The Privacy Policy describes personal information processing and is incorporated by reference where permitted by law.
2. Services and allocation of roles
Enroll Talent provides services that may include an ATS, career pages, job creation and management, application centralization and screening, collaboration, analytics, automation, aggregation, and multi-channel distribution. The exact scope depends on the plan, order form, configuration, and enabled integrations.
Enroll Talent provides technology and support. The customer remains the employer or recruiter responsible for:
- its needs, job postings, selection criteria, communications, and decisions;
- the legality and accuracy of its content;
- applicant notices, consents, and other required lawful authority;
- fairness, non-discrimination, and compliance with labour and employment laws; and
- its users’ access and permission assignments.
Enroll Talent is not a staffing agency, is not the applicants’ employer, and does not guarantee a number of applications, a hire, or any recruiting outcome.
3. Accounts, users, and access
Account information must be accurate and kept up to date. Administrative accounts may be used only by people authorized to act for the customer. Each user must keep credentials confidential and may not share named access unless expressly permitted by the plan and configuration.
The customer is responsible for activity through its accounts and must promptly notify us of unauthorized access or a suspected incident. We may require additional authentication, restrict a session, or reset access when reasonably necessary for security.
4. Subscriptions, fees, and taxes
Features, usage limits, term, fees, currency, payment terms, renewal, and cancellation are stated in the order form, purchase interface, or applicable agreement. Applicable taxes are added unless stated otherwise.
The customer authorizes the agreed payment method and must maintain accurate billing details. Overdue amounts may bear interest at the rate permitted by law and may result in suspension after reasonable notice, subject to good-faith dispute rights.
Unless a signed writing states otherwise or mandatory law requires it, incurred fees are non-refundable. A change in plan or volume may adjust fees under terms disclosed before the change takes effect.
5. Customer data, content, and instructions
As between the parties, the customer retains its rights in job postings, company profiles, applications, attachments, settings, and other data that it provides or causes the Services to process (“Customer Data”). The customer grants Enroll Talent a limited, worldwide, non-exclusive licence to host, copy, structure, transform, transmit, display, and otherwise process Customer Data only to provide, secure, support, and improve the Services in accordance with the agreement.
The customer represents that it has the rights, permissions, and lawful authority required for Customer Data, including when data is imported from another system or disclosed to a distribution platform. The customer responds to data subject requests, and Enroll Talent provides reasonable assistance based on the agreed role.
We may create aggregated or anonymized statistics that do not reasonably identify a customer, user, or applicant. Those statistics may be used to operate, secure, measure, and improve the Services.
6. Applicant use
An applicant may use a career page or form to submit an application to an employer. The applicant must provide information that is accurate, relevant, and lawful to disclose. Applicants must not upload malicious or illegal content or content that infringes another person’s rights.
Technical receipt of an application is not a promise of review, interview, or employment. The employer determines the next step. Employer-specific notices and our Privacy Policy explain how information is handled.
7. Distribution and third-party services
The Services may integrate with LinkedIn, Indeed, other job sites, ATS and ERP systems, content management systems, email services, analytics tools, and external providers. Enabling an integration authorizes Enroll Talent to exchange the necessary data based on granted permissions and customer instructions.
The customer must comply with each third party’s terms, policies, formats, timelines, intellectual property rights, and quality rules. External services operate independently, and their features, criteria, APIs, approvals, and availability may change beyond our control.
Enroll Talent does not guarantee that a third-party platform will accept, publish, maintain, rank, or display a job in any particular way. We may discontinue or adapt an integration that becomes unavailable, non-compliant, or technically infeasible.
LinkedIn, Indeed, and other provider marks belong to their respective owners. A reference to compatibility or integration does not create an endorsement or partnership beyond an agreement actually in place.
8. Artificial intelligence and automated features
The Services may generate suggestions, summaries, content, matches, priorities, or scores based on available criteria and data. These outputs are work aids and may contain errors, omissions, or bias. The customer must review them before use or disclosure.
The customer must not use an automated output as the sole basis for a decision prohibited by law or having a significant effect on a person where law requires human involvement, an explanation, consent, or another safeguard. The customer must maintain meaningful human oversight and provide required recourse.
Enroll Talent may adjust the models, providers, parameters, or methods used, provided applicable core security and contractual commitments are maintained.
9. Acceptable use
You may not use the Services to:
- violate a law, right, contractual obligation, or employment-related rule;
- publish a misleading, discriminatory, or unlawful job, or conceal the employer’s actual identity;
- collect or use more personal information than necessary or do so without lawful authority;
- send spam, harass, impersonate another person, or conduct fraudulent activity;
- introduce malware, circumvent security, test a vulnerability without authorization, or disrupt the service;
- bulk-extract, resell, or build a database from the Services except through an expressly authorized feature;
- copy, disassemble, decompile, or attempt to discover source code, except to the extent law allows despite this restriction; or
- use protected data, outputs, or interfaces to develop or train a competing product.
We may investigate suspected misuse and take proportionate steps, including removing content, restricting a feature, or suspending access.
10. Intellectual property
Enroll Talent and its licensors retain all rights in the Services, software, interfaces, designs, documentation, methods, marks, models, content, and improvements, excluding Customer Data. Subject to payment and compliance, Enroll Talent grants the customer a limited, revocable, non-exclusive, non-transferable right to use the Services during the agreed term for its internal recruiting operations.
If you submit suggestions or feedback, you permit us to use them without restriction or compensation, without disclosing your confidential information.
11. Privacy, data protection, and security
Each party complies with personal information laws applicable to its role. When Enroll Talent processes applicant information for the customer, documented instructions, the agreement, and any data processing addendum govern that processing.
Enroll Talent maintains reasonable safeguards appropriate to risk. The customer configures roles, promptly removes access that is no longer required, and uses available security features. The Privacy Policy provides more detail.
12. Availability, maintenance, and changes
We aim to maintain reliable Services, but an interruption may result from maintenance, an update, an incident, a provider, the Internet, or an event beyond our reasonable control. We may modify a feature to improve security, compliance, performance, or experience, or to account for technological or regulatory change.
We will provide reasonable notice when a change materially reduces a purchased core feature, except where an urgent security issue, legal requirement, or third-party decision requires immediate action.
13. Confidential business information
Each party protects non-public information that is marked confidential or should reasonably be understood as confidential with at least the same care it uses for its own similar information. It uses that information only to perform the agreement and discloses it only to people who need to know and are bound by confidentiality duties.
This obligation does not cover information that becomes public without fault, was already lawfully known, is lawfully received from a third party, or is independently developed. Disclosure required by law is allowed after notice to the other party where permitted.
14. Suspension, termination, and end-of-service data
Either party may end the agreement under the order form or service agreement. For a material breach, the non-breaching party may terminate after notice and a reasonable opportunity to cure, unless the breach cannot be cured. We may immediately suspend access where there is a serious risk to security, people, service legality, or platform integrity.
At termination, the right to use the Services ends. If requested within the contract period or, if none is stated, within a reasonable period before deletion, the customer may retrieve a standard data export, subject to payment of amounts due and legal restrictions. Data is then deleted or anonymized under the Privacy Policy, backup cycles, and retention obligations.
Terms that by their nature should survive remain effective, including payment, confidentiality, intellectual property, disclaimers, liability, and dispute provisions.
15. Warranties and disclaimers
Enroll Talent warrants that it will provide the Services professionally and substantially in accordance with applicable documentation. If the customer reports a verifiable breach within a reasonable period, our obligation is to correct the affected service or, if correction is unreasonable, terminate that portion and refund prepaid fees for the undelivered period.
Subject to warranties that cannot be excluded, the Services are otherwise provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, freedom from error, universal compatibility, recruiting results, and uninterrupted availability.
16. Limitation of liability
To the maximum extent permitted by law, neither party is liable to the other for indirect, special, punitive, incidental, or consequential loss, or loss of profit, revenue, opportunity, goodwill, or data that could have been avoided through reasonable backup, even if advised that such loss was possible.
To the maximum extent permitted by law, each party’s total liability arising from the Services in a twelve-month period will not exceed the fees paid or payable by the customer for the affected Services during the twelve months before the event giving rise to the claim.
These limits do not apply to fraud, intentional or gross fault, bodily injury, an expressly agreed indemnity, infringement of the other party’s intellectual property rights, or liability that cannot be limited by law. They do not affect an individual’s rights where mandatory public-order rules apply.
17. Indemnification
The customer will defend and indemnify Enroll Talent against a third-party claim arising from Customer Data, a customer job, criterion, or decision, the customer’s legal violation, or use of the Services contrary to the agreement. Enroll Talent will promptly notify the customer and allow it to control the defence, while retaining the right to participate through its own counsel.
Enroll Talent will defend the customer against a claim that the Enroll Talent software, when used according to the agreement, infringes a third party’s Canadian intellectual property right. We may modify or replace the item, obtain a right of use, or end the affected item and refund the unused prepaid portion. This obligation does not apply to a combination, modification, or data not supplied by Enroll Talent.
18. Governing law and disputes
The agreement is governed by the laws of Québec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before starting a claim, the parties will make a good-faith effort to resolve the dispute through discussion between authorized representatives.
Subject to mandatory jurisdiction or a procedure agreed in writing, Québec courts with jurisdiction in the judicial district of Terrebonne have exclusive jurisdiction. Nothing prevents a party from seeking urgent relief to protect confidential information, personal information, or intellectual property rights.
19. Language
A French version of these terms is made available. If an organization expressly chooses to contract in English after having had an opportunity to review the French version, it confirms that choice in accordance with applicable law. If the public versions differ in interpretation, the French version prevails unless a valid agreement provides otherwise and except where mandatory law requires a different result.
20. Changes, notices, and contact
We may modify these terms to reflect legal, technical, or business developments. We will identify the update date and provide reasonable notice before a materially adverse change applies to a current subscription, except for an emergency or legal requirement. Continued use after the effective date constitutes acceptance where permitted by law.
Notices may be delivered in the application, by email to the account contact, or through a prominent posting. The customer must keep its contact details current.
